好律师网 http://www.haolawyer.com/ 中华人民共和国中外合资经营企业法 1979年7月1日第五届全国人民代表大会第二次会议通过 全文 第一条 中华人民共和国为了扩大国际经济合作和技术交流,允许外 国公司、企业和其它经济组织或个人(以下简称外国合营者),按照平等互 利的原则,经中国政府批准,在中华人民共和国境内,同中国的公司、企 业或其它经济组织(以下简称中国合营者)共同举办合营企业。 第二条 中国政府依法保护外国合营者按照经中国政府批准的协议、 合同、章程在合营企业的投资、应分得的利润和其他合法权益。 合营企业的一切活动应遵守中华人民共和国法律、法令和有关条例规 定。 第三条 合营各方签订的合营协议、合同、章程,应报中华人民共和 国外国投资管理委员会,该委员会应在三个月内决定批准或不批准。合营 企业经批准后,向中华人民共和国工商行政管理总局登记,领取营业执照, 开始营业。 第四条 合营企业的形式为有限责任公司。 在合营企业的注册资本中,外国合营者的投资比例一般不低于百分之 二十五。 合营各方按注册资本比例分享利润和分担风险及亏损。 合营者的注册资本如果转让必须经合营各方同意。 第五条 合营企业各方可以现金、实物、工业产权等进行投资。 外国合营者作为投资的技术和设备,必须确实是适合我国需要的先进 技术和设备。如果有意以落后的技术和设备进行欺骗,造成损失的,应赔 偿损失。 中国合营者的投资可包括为合营企业经营期间提供的场地使用权。如 果场地使用权未作为中国合营者投资的一部分,合营企业应向中国政府缴 纳使用费。 上述各项投资应在合营企业的合同和章程中加以规定,其价格(场地 除外)由合营各方评议商定。 第六条 合营企业设董事会,其人数组成由合营各方协商,在合同、 章程中确定,并由合营各方委派和撤换。董事会设董事长一人,由中国合 营者担任;副董事长一人或二人,由外国合营者担任。董事会处理重大问 题,由合营各方根据平等互利原则协商决定。 董事会的职权是按合营企业章程规定,讨论决定合营企业的一切重大 问题:企业发展规划、生产经营活动方案、收支预算、利润分配、劳动工 资计划、停业,以及总经理、副总经理、总工程师、总会计师、审计师的 任命或聘请及其职权和待遇等。 正副总经理(或正副厂长)由合营各方分别担任。 合营企业职工的雇用、解雇,依法由合营各方的协议、合同规定。 第七条 合营企业获得的毛利润,按中华人民共和国税法规定缴纳合 营企业所得税后,扣除合营企业章程规定的储备基金、职工奖励及福利基 金、企业发展基金,净利润根据合营各方注册资本的比例进行分配。 具有世界先进技术水平的合营企业开始获利的头两年至三年可申请减 免所得税。 外国合营者将分得的净利润用于在中国境内再投资时,可申请退还已 缴纳的部分所得税。 第八条 合营企业应在中国银行或者经中国银行同意的银行开户。 合营企业的有关外汇事宜,应遵照中华人民共和国外汇管理条例办理。 合营企业在其经营活动中,可直接向外国银行筹措资金。 合营企业的各项保险应向中国的保险公司投保。 第九条 合营企业生产经营计划,应报主管部门备案,并通过经济合 同方式执行。 合营企业所需原材料、燃料、配套件等,应尽先在中国购买,也可由 合营企业自筹外汇,直接在国际市场上购买。 鼓励合营企业向中国境外销售产品。出口产品可由合营企业直接或与 其有关的委托机构向国外市场出售,也可通过中国的外贸机构出售。合营 企业产品也可在中国市场销售。 合营企业需要时可在中国境外设立分支机构。 第十条 外国合营者在履行法律和协议、合同规定的义务后分得的净 利润,在合营企业期满或者中止时所分得的资金以及其它资金,可按合营 企业合同规定的货币,通过中国银行按外汇管理条例汇往国外。 鼓励外国合营者将可汇出的外汇存入中国银行。 第十一条 合营企业的外籍职工的工资收入和其它正当收入,按中华 人民共和国税法缴纳个人所得税后,可通过中国银行按外汇管理条例汇往 国外。 第十二条 合营企业合同期限,可按不同行业、不同情况,由合营各 方商定。合营企业合同期满后,如各方同意并报请中华人民共和国外国投 资管理委员会批准,可延长期限。延长合同期限的申请,应在合同期满六 个月前提出。 第十三条 合营企业合同期满前,如发生严重亏损、一方不履行合同 和章程规定的义务、不可抗力等,经合营各方协商同意,报请中华人民共 和国外国投资管理委员会批准,并向工商行政管理总局登记,可提前终止 合同。如果因违反合同而造成损失的,应由违反合同的一方承担经济责任。 第十四条 合营各方发生纠纷,董事会不能协商解决时,由中国仲裁 机构进行调解或仲裁,也可由合营各方协议在其它仲裁机构仲裁。 第十五条 本法自公布之日起生效。本法修改权属于全国人民代表大 会。 THE LAW OF THE PEOPLE`S REPUBLIC OF CHINA ON CHINESE- FOREIGNEQUITY JOINT VENTURES (Adopted on July 1, 1979 at the Second Session of the FifthNational People`s Congress, and amended pursuant to the " Decision onAmendment of `The Law of the People`s Republic of China on Chinese-ForeignEquity Joint Ventures`" passed on April 4, 1990 at the Third Session ofthe Seventh National People`s Congress.) Whole Doc. cle 1 The People`s Republic of China, in order to expand international omic cooperation and technological exchange, permits foreign anies, enterprises and other economic organizations or individuals einafter referred to as the "foreign party") to jointly establish and ate equity joint ventures within the territory of the People`s blic of China with Chinese companies, enterprises or other economic nizations (hereinafter referred to as the "Chinese party") based on principle of equality and mutual benefit, and upon the approval of the ese Government. cle 2 The Chinese Government shall protect in accordance with law the stments of the foreign party, the profits due to it and its other ul rights and interests in an equity joint venture under the ement, contract and articles of association approved by the Chinese rnment. All the activities of an equity joint venture shall comply with the isions of the laws, decrees and relevant rules and regulations of the le`s Republic of China. The State will not nationalize or expropriate equity joint ventures; r special circumstances, based on the requirements of social and ic interests, equity joint ventures may be expropriated in accordance legal procedures, and corresponding compensation shall be provided. cle 3 The agreement, contract and articles of association of an equity t venture signed by the parties to the venture shall be submitted to State department in charge of foreign economic relations and trade einafter referred to as "the examination and approval authority") for ination and approval. The examination and approval authority shall de within 3 months to approve or disapprove. After an equity joint ure has been approved, it shall register with the State department in ge of administration of industry and commerce, obtain its business nce, and commence business operations. cle 4 The form of an equity joint venture shall be a limited liability any. The proportion of the foreign party`s contribution to the stered capital of an equity joint venture shall in general not be less 25 per cent. The parties to the venture shall share profits and bear risks and es in proportion to their respective contributions to the registered tal. The transfer of a party`s contribution to the registered capital must greed upon by each party to the venture. cle 5 The parties to an equity joint venture may make their investments in , in kind, in industrial property rights, etc. The technology and equipment contributed by a foreign party as its stment must be advanced technology and equipment which is truly suited he needs of China. In case of losses caused by deception through the ntional provision of outdated technology and equipment, compensation l be paid for such losses. The investment of a Chinese party may include providing the right to a site during the term of operation of the equity joint venture. If right to use a site is not a part of the investment by a Chinese y, the venture shall pay the Chinese Government a fee for its use. The various investments mentioned above shall be specified in the ract and articles of association of the equity joint venture, and the e of each contribution (except for the site) shall be appraised and rmined through discussions between the parties to the venture. cle 6 An equity joint venture shall establish a board of directors with a and composition stipulated in the contract and the articles of ciation after consultation between the parties to the venture; and party to the venture shall appoint and replace its own director(s). chairman and the vice-chairman of the board shall be determined ugh consultation between the parties to the venture or elected by the d. Where a director appointed by the Chinese party or the foreign y serves as chairman, a director appointed by the other party shall e as vice-chairman. The board of directors shall decide important es concerning the equity joint venture based on the principle of lity and mutual benefit. The function and powers of the board of directors shall be to discuss decide, pursuant to the provisions of the articles of association of equity joint venture, all important issues concerning the venture, ly: the development plan of the enterprise, production and business rams, the budget, distribution of profits, plans concerning labor and s, the termination of business, and the appointment or hiring of the ral manager, the deputy general manager(s), the chief engineer, the f accountant and the auditor as well as their functions and powers and r remuneration, etc. The positions of general manager and deputy general manager(s) (or factory manager and deputy factory manager(s)) shall be assumed by nees of the respective parties to the venture. The employment and dismissal of the staff and workers of an equity t venture shall be stipulated according to law in the agreement or ract between the parties to the venture. cle 7 From the gross profit earned by an equity joint venture, after ent of the venture`s income tax in accordance with the provisions of tax laws of the People`s Republic of China, deductions shall be made the reserve fund, the bonus and welfare fund for staff and workers, the enterprise development fund as stipulated in the articles of ciation of the venture and the net profit shall be distributed to the ies to the venture in proportion to their respective contributions to registered capital. An equity joint venture may enjoy preferential treatment in the form ax reductions and exemptions in accordance with provisions of State and administrative regulations relating to taxation. When a foreign party uses its share of the net profit as reinvestment in the territory of China, it may apply for a refund of part of the me tax already paid. cle 8 An equity joint venture shall, on the basis of its business licence, a foreign exchange account with a bank or another financial itution which is permitted by the State foreign exchange control ority to engage in foreign exchange business. Matters concerning the foreign exchange of an equity joint venture l be handled in conformity with the foreign exchange control lations of the People`s Republic of China. An equity joint venture may, in the course of its business vities, raise funds directly from foreign banks. The various items of insurance of an equity joint venture shall be ined from China`s insurance companies. cle 9 The plans for production and business operations of an equity joint ure shall be filed for the record with the department in charge and emented through economic contracts. For the raw and processed materials, fuel, auxiliary equipment, etc. ed by an equity joint venture, priority shall be given to purchasing China, but such purchases may also be made directly on the rnational market with foreign exchange raised by the equity joint ure itself. An equity joint venture shall be encouraged to sell its products ide the territory of China. Export products may be sold on foreign ets by an equity joint venture directly or by entrusted institutions ted to it, and they may also be sold through China`s foreign trade itutions. The products of an equity joint venture may also be sold on Chinese market. When necessary, an equity joint venture may set up branch itutions outside China. cle 10 The net profit received by a foreign party after fulfillment of its gations at law and under the provisions of agreements and contracts, funds received by it upon the expiration or termination of an equity t venture as well as other funds may be remitted abroad in accordance foreign exchange control regulations in the currency stipulated in joint venture contract. The foreign party shall be encouraged to deposit in the Bank of China foreign exchange which may be remitted abroad. cle 11 The wage income and other legitimate income of foreign staff and ers of an equity joint venture may be remitted abroad in accordance foreign exchange control regulations after payment of individual me tax under the tax laws of the People`s Republic of China. cle 12 The term of operation of equity joint ventures may be agreed upon erently according to different lines of business and different umstances. The term of operation of equity joint ventures engaged in lines of business shall be fixed while the term of operation of ty joint ventures engaged in other lines of business may or may not be d. Where the parties to an equity joint venture with a fixed term of ation agree to extend the term of operation, they shall submit an ication to the examination and approval authority not later than six hs prior to the expiration of the operation term. The examination and oval authority shall decide, within one month of receipt of the ication, to approve or disapprove. cle 13 If serious losses are incurred by an equity joint venture, or one y fails to fulfill its obligations under the contract and the articles ssociation, or an event of force majeure occurs, etc. , the contract be terminated after consultation and agreement between the parties to venture, subject to approval by the examination and approval authority to registration with the State department in charge of administration ndustry and commerce. In case of losses caused by breach of contract, omic responsibility shall be borne by the breaching party. cle 14 When a dispute arises between the parties to a venture and the board irectors is unable to resolve it through consultation, the dispute l be settled through conciliation or arbitration conducted by an tral institution of China, or through arbitration by another arbitral itution agreed upon by the parties to the venture. cle 15 This law shall come into force on the date of its promulgation. The r to amend this law is vested in the National People`s Congress.
